1. Application
(1) These Terms of Service (the “Terms”) apply to all relationships between users and Cloud Study (the “Operator”) relating to use of the Service.
(2) In addition to these Terms, the Operator may establish rules and other provisions regarding use of the Service (“Individual Provisions”). Regardless of their title, the Individual Provisions form part of these Terms.
(3) If these Terms conflict with an Individual Provision, the Individual Provision will prevail unless otherwise specified in that Individual Provision.
2. User Registration
(1) Registration is completed when an applicant agrees to these Terms and completes the registration procedure prescribed by the Operator.
(2) The Operator may reject an application without being required to disclose the reason if the applicant provides false information, has previously violated these Terms, or is otherwise considered unsuitable for registration by the Operator.
3. Management of User IDs and Passwords
(1) Users are responsible for properly managing their user IDs and passwords.
(2) Users may not transfer, lend, or share their user IDs or passwords with any third party. When a login is completed using credentials matching the registered information, the Operator will treat the use as having been made by the registered user.
(3) Except in cases of willful misconduct or gross negligence by the Operator, the Operator is not liable for damage caused by a third party’s use of a user ID or password.
4. Purchase and Subscription Agreements
(1) A purchase agreement is formed when a user submits a purchase application and the Operator notifies the user that the application has been accepted.
(2) The Operator may cancel a purchase agreement without prior notice if the user violates these Terms or if the relationship of trust between the user and the Operator is considered to have been damaged.
(3) Payment methods, purchase cancellation procedures, returns, and related matters are governed by methods separately prescribed by the Operator.
(4) Refunds
Due to the nature of the Service, payments are generally non-refundable after purchase.
However, if a user suffers a loss due to circumstances attributable to the Operator, such as a system malfunction or duplicate payment processing, the Operator may issue a refund at its discretion.
Refunds for reasons not attributable to the Operator may be difficult or unavailable because of payment-system specifications or other circumstances.
No prorated refund will be provided for cancellation during a paid access period.
(5) Subscription Agreements
The Service is offered through recurring subscriptions. The subscription term is the period displayed when the user applies for a plan. Unless the user completes the prescribed cancellation procedure, the subscription will renew automatically under the same conditions.
Cancellation must be completed no later than the day before the next renewal date. Fees for a period that has already renewed will not be refunded.
5. Intellectual Property Rights
(1) Copyright and other intellectual property rights in the questions, images, and other content provided through the Service (“Content”) belong to the Operator, content providers, or other lawful rights holders. Users may not reproduce, republish, modify, or otherwise reuse the Content without authorization.
6. Prohibited Conduct
(1) Users must not engage in any of the following conduct when using the Service:
• Conduct that violates laws, regulations, or public order and morality
• Conduct related to criminal activity
• Infringement of copyrights, trademarks, or other intellectual property rights included in the Service
• Destruction of or interference with the Operator’s servers or network functions
• Commercial use of information obtained through the Service
• Conduct that may interfere with operation of the Service
• Unauthorized access or attempted unauthorized access
• Collection or storage of Personal Information relating to other users
• Impersonation of another user
• Direct or indirect provision of benefits to antisocial forces in connection with the Service
• Any other conduct the Operator considers inappropriate
7. Suspension of the Service
(1) The Operator may suspend or interrupt all or part of the Service without prior notice if the Operator determines that maintenance or updates are required; the Service cannot be provided because of an earthquake, lightning, fire, power outage, natural disaster, or other event of force majeure; computer or telecommunications systems stop because of an accident; or the Operator otherwise determines that providing the Service is difficult.
(2) The Operator is not liable for any disadvantage or damage suffered by a user or third party as a result of suspension or interruption of the Service, regardless of the reason.
8. Usage Restrictions and Registration Cancellation
(1) The Operator may restrict all or part of a user’s use of the Service or cancel the user’s registration without prior notice if the user violates these Terms; registered information is found to be false; the user’s registered credit card becomes unavailable; the user fails to meet a payment obligation; the user does not respond to communications from the Operator for a certain period; the Service has not been used for a certain period; or the Operator otherwise determines that use of the Service is inappropriate.
(2) The Operator is not liable for damage caused to a user by actions taken under this section.
9. Withdrawal
(1) A user may withdraw from the Service by completing the prescribed withdrawal procedure.
10. Disclaimer of Warranties and Limitation of Liability
(1) The Operator does not warrant that the Service is free from factual or legal defects, including defects relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, or infringement of rights.
(2) The Operator is not liable for damage incurred by users in connection with the Service. However, if the agreement between the Operator and a user, including these Terms, constitutes a consumer contract under the Consumer Contract Act of Japan, exclusions prohibited by that Act will not apply. Even in that case, the Operator is not liable for special damages arising from circumstances that the Operator or user foresaw or could have foreseen, when such damages result from default or tort caused by the Operator’s negligence other than gross negligence.
(3) The Operator is not responsible for transactions, communications, or disputes between users or between a user and a third party in connection with the Service.
11. Changes to or Discontinuation of the Service
(1) The Operator may change the content of the Service or discontinue the Service without prior notice and is not liable for resulting damage to users.
12. Changes to These Terms
(1) The Operator may change these Terms at any time without prior notice when it considers a change necessary. A user who begins or continues using the Service after the Terms are changed will be deemed to have agreed to the revised Terms.
13. Handling of Personal Information
(1) Personal Information obtained through use of the Service will be handled appropriately in accordance with the Operator’s Privacy Policy.
14. Notices and Communications
(1) Notices and communications between users and the Operator will be made by methods prescribed by the Operator. Unless a user submits a change in accordance with a separately prescribed procedure, the Operator will treat the currently registered contact information as valid. A notice or communication sent to that contact information will be deemed to have reached the user when sent.
15. Prohibition on Assignment
(1) A user may not assign or pledge their position under the service agreement or any rights or obligations under these Terms to a third party without the Operator’s prior written consent.
16. Governing Law and Jurisdiction
(1) These Terms are governed by the laws of Japan. The United Nations Convention on Contracts for the International Sale of Goods does not apply to the Service.
(2) Any dispute relating to the Service will be subject to the exclusive agreed jurisdiction of the court having jurisdiction over the Operator’s location.
